Our Terms of Service outline how Kouper works, what you can expect from us, and what we expect from you.

Kouper Inc., and its subsidiaries (collectively, "Kouper," "we," "us," "our") provide certain services through its website at https://www.kouperhealth.com/ (the "Site") and via SMS/MMS messages (the "Text Service"), together with related features (collectively, the "Service"), subject to these Terms of Service. By using the Site, Text Service, or any aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept them, you will not use the Service.
We may also provide access to affiliated or partnered medical groups or other providers ("Affiliated Medical Groups"), whose physicians and allied health professionals ("Providers") offer healthcare and medical services ("Healthcare Services"). Any services you receive from the Affiliated Medical Groups or Providers are not subject to these Terms of Service.
PLEASE READ THESE TERMS CAREFULLY — THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER. YOU MAY ONLY PURSUE CLAIMS AGAINST KOUPER ON AN INDIVIDUAL BASIS.
Access and Use of the Service
Service Description. The Service lets you use SMS/MMS messages to arrange Healthcare Services from Providers in your location following a hospital stay.
Communication. Representatives of Kouper or Providers may contact you to schedule consultations, send reminders, collect payment, or discuss your care.
Registration. You agree to provide accurate, current, and complete information, and you must be at least 18 years old.
Account Security. You are responsible for keeping your account and password confidential and for all activity under your account.
Deleting Your Account. Email info@kouperhealth.com. Kouper may also modify, suspend, or discontinue the Service at any time.
Medical and Healthcare Disclaimers
Kouper, Inc. is not authorized to provide licensed professional services and does not offer medical treatment or advice. Using the Service does not create a provider–patient relationship with Kouper; such a relationship may form only with a Provider. The Service is not a substitute for professional medical diagnosis or treatment — never disregard or delay professional medical advice because of something accessed through the Service.
If you think you may have a medical emergency, call 911 immediately. If you are thinking about suicide or are worried about someone, call the 988 Suicide & Crisis Lifeline. We share data with third parties only at your request and as permitted by HIPAA.
Conditions of Access and Use
You are responsible for the content you share and agree not to: infringe intellectual property; post unlawful, harmful, or objectionable content; disrupt the Service; impersonate others; harvest other users' information; overload our infrastructure; copy or monetize Service content; or use scraping or data-mining tools. The Service is for personal, non-commercial use within the United States.
Mobile Services and Software
To the extent you access the Service via a mobile device, your wireless carrier's standard charges and data rates may apply.
Text Service. Standard message and data rates may apply. Text STOP to cancel and HELP for support. To opt out of all communications, contact info@kouperhealth.com.
Software. The technology and software underlying the Service are the property of Kouper and its partners. You may not copy, modify, reverse engineer, sell, or transfer any right in the Software.
Intellectual Property Rights
The Service Content is protected by copyright, trademark, and other laws; you receive no rights to it except as expressly stated. The Kouper name and logos are trademarks of Kouper. You grant Kouper a license to use content you submit, subject to the Privacy Policy.
Third-Party Services
The Service may link to third-party services that Kouper does not control and is not responsible for. Review their privacy policies before use; you are responsible for any costs of using them.
Indemnity
You agree to release, indemnify and hold Kouper and its officers, employees, directors, service providers, licensors, and agents harmless from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any rights of another.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Limitation of Liability
Kouper will not be liable for any indirect, incidental, special, consequential, or exemplary damages. Kouper's total liability will not exceed the greater of the amount you paid Kouper in the past six months or $100.
Dispute Resolution by Binding Arbitration
Most disputes must be resolved by binding individual arbitration administered by JAMS, not in court, and you waive the right to a jury trial or class action. Before arbitrating, send a written Notice of Dispute to Kouper Inc., 817 Broadway 7th Floor, New York, NY 10003. The seat of arbitration is Philadelphia, Pennsylvania.
Termination & General
Kouper may suspend or terminate your access at any time. These Terms are governed by the laws of the State of New York; non-arbitrable disputes are subject to the courts in New York, New York.
